These Terms of Service ("Terms") govern your access to and use of the Vega (Office Document Management System) platform, including any associated services, features, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using Vega, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of Service
Vega is a cloud-based document management platform that provides:
- Document upload, storage, and organisation
- Expiry tracking and automated reminders
- Electronic signature collection and approval workflows
- Role-based access control and permissions management
- Reports, analytics, and audit trail functionality
- Notification and collaboration tools
3. Account Registration
3.1 Eligibility
You must be at least 16 years of age and capable of forming a binding contract to use Vega. Organisations must designate an authorised administrator.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised access or use
- Ensuring the accuracy and completeness of your account information
4. Subscription and Payment
4.1 Plans and Pricing
Vega offers various subscription plans as described on our pricing page. Prices are subject to change with 30 days' prior notice. Plan features and storage limits vary by tier.
4.2 Billing
- Subscription fees are billed in advance on a monthly or annual basis
- All payments are processed through secure third-party payment processors
- You authorise us to charge your designated payment method for recurring fees
- Failed payments may result in service suspension after a 7-day grace period
4.3 Taxes
Prices do not include applicable taxes. You are responsible for all taxes associated with your subscription, excluding taxes based on Vega's net income.
5. Acceptable Use
You agree NOT to use Vega to:
- Upload, store, or distribute illegal, harmful, threatening, or objectionable content
- Violate any applicable laws, regulations, or third-party rights
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorised access to other accounts or systems
- Transmit malware, viruses, or other malicious code
- Use the Service for unauthorised mass communication or spam
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute the Service without written permission
6. Intellectual Property
6.1 Our Property
The Vega platform, including its design, code, logos, trademarks, and documentation, is owned by Vega Inc. and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding.
6.2 Your Content
You retain full ownership of all documents and content you upload to Vega. By uploading content, you grant Vega a limited, non-exclusive license to host, store, and process your content solely for the purpose of providing the Service.
7. Data Protection
We process your data in accordance with our Privacy Policy. For organisational accounts, Vega acts as a data processor on behalf of your organisation (the data controller). We offer a Data Processing Agreement (DPA) upon request for compliance with GDPR and similar regulations.
8. Service Availability
We strive to maintain 99.9% uptime. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency maintenance or security updates
- Events beyond our reasonable control (force majeure)
9. Limitation of Liability
To the maximum extent permitted by law:
- Vega is provided "as is" and "as available" without warranties of any kind
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim
- We are not responsible for the content, accuracy, or legality of documents you upload
10. Indemnification
You agree to indemnify and hold harmless Vega, its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
11.1 By You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You may request account deletion by contacting support.
11.2 By Vega
We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or fail to pay fees when due. We will provide reasonable notice when possible.
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days and then permanently deleted, unless legally required to retain it longer.
12. Dispute Resolution
Any disputes arising from these Terms shall be resolved through:
- Informal Resolution: We encourage you to contact us first to resolve disputes informally
- Arbitration: If informal resolution fails, disputes shall be settled by binding arbitration in San Francisco, California
- Governing Law: These Terms are governed by the laws of the State of California
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
